What this is
Due Diligence, in plain terms.
Due diligence is the cheapest part of any transaction and the first thing dropped when a deal is moving fast. The pattern is consistent: somebody is impressive, the timeline is tight, and the verification that would have taken a week gets skipped in favor of a handshake.
What a due diligence investigation does is slow one thing down. Is the entity real and in good standing. Is the person who they say they are, and have they done this before. Is there litigation, are there judgments, are there liens on the assets being discussed. None of it is exotic. All of it is a great deal cheaper than the alternative.
The work
What actually gets done.
- Verify the entity: registration, standing, officers, registered agent, assumed names.
- Verify the individuals: identity, name history, stated background and credentials.
- Search civil litigation history in the jurisdictions that matter.
- Search judgments, liens, bankruptcies and UCC filings.
- Review recorded property and other assets of record.
- Check reputation and media, and interview references where the engagement calls for it.
Background Checks
Searched where the records actually live.
County by county, court by court, agency by agency. The report says which jurisdictions were covered and which were not, because a search without its scope stated is not a search.
What you get
At the end of it.
- A written due diligence report, organized so the risks are on the first page.
- Copies of the underlying records.
- A clear list of what could not be verified, which is often the most useful section.
- A turnaround that fits your closing date, agreed up front.
When people call
The three situations we hear most.
You are buying a business
The financials get looked at. The people behind them frequently do not.
You are taking on a partner or an investor
Somebody is about to have standing in your company. Verification is ordinary.
A vendor is about to hold something you cannot lose
Money, data, or a contract you cannot afford to have fail.
Questions
About this service.
How long does due diligence take?
Basic entity and litigation verification is usually days. A full investigation with interviews and multi-jurisdiction searches takes longer. Tell us your closing date on the first call and we will tell you what is achievable inside it.
Will the other side know?
Records work is invisible. If the engagement includes interviewing references or former partners, that is not, and we will agree the approach with you before anybody is contacted.
Can you review the financials?
We verify what is of public record and what can be lawfully obtained and confirmed. Auditing the books is work for an accountant, and we will tell you when that is what you actually need.
Is the first conversation really free?
Yes, and it is confidential. You describe the situation, we tell you whether an investigation is likely to help, roughly what it would involve and what it would cost. There is no charge for that call and no obligation at the end of it.
